PLEASE CAREFULLY READ THESE TERMS AND CONDITIONS BEFORE OPENING THIS PACKAGE OR BY ACCESSING, DISPLAYING, AND/OR USING THE SOFTWARE CONTAINED ON THIS DISK. IF YOU DO NOT AGREE, PROMPTLY RETURN THE PRODUCT TO THE PARTY FROM WHICH IT WAS ACQUIRED FOR A FULL REFUND OF THE LICENSE FEE PAID, IF ANY, FOR THE PRODUCT.

1. Subject to the following terms and conditions, Planar Systems Inc. (“Licensee”) grants to you (“User”) a limited, non-exclusive license to install and use the enclosed software and documentation (the “Product”) solely in conjunction with the Licensee product with which it was supplied and only for User’s internal use and archive purposes. This license is not a sale of the Product, or any copies thereof. Licensee or Licensee’s licensor retains ownership of the Product and all copies thereof, regardless of the form in which copies may exist, and the Product is protected by United States copyright laws and international treaty provisions. The Product or any copies or portions thereof may not be modified or transferred. 2. This license is effective until terminated. This license will terminate automatically without notice from Licensee if the User fails to comply with the provisions of this Agreement. Upon termination, User shall cease all use of the Product and shall return all copies of the Product to Licensee or destroy or render unusable the Product and all archive or other copies thereof. 3. User shall not alter, reverse engineer, or reverse compile the Product. The Product and all copies thereof are the proprietary property of Licensee or its licensors and all right, title and interest, including all intellectual property rights therein, shall remain with Licensee or its licensors. User shall not sell, lease, transfer, publish, disclose, display or otherwise make available the Product or copies thereof in any form to any third parties. User shall not create any derivative work based on the Product or remove, modify or obscure any copyright or other proprietary notice of Licensee or Licensee’s licensor. User agrees to secure and protect the Product and copies thereof in a manner consistent with the maintenance of Licensee’s rights therein and to take appropriate action by instruction or agreement with its employees and other parties who have access to the Product or copies thereof to satisfy its obligations hereunder. 4. USER ACCEPTS THE LICENSED SOFTWARE “AS IS” AND “WITH ALL FAULTS”. THE LICENSED SOFTWARE IS PROVIDED WITHOUT ANY WARRANTY WHATSOEVER. LICENSEE AND 3M TOUCH SYSTEMS, INC. DISCLAIM ALL WARRANTIES, WHETHER STATUTORY, EXPRESS, IMPLIED, ORAL OR WRITTEN, INCLUDING ALL WARRANTIES OF NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE SELECTION, DISTRIBUTION AND USE OF THE LICENSED SOFTWARE IS WITH USER. NEITHER LICENSEE NOR 3M TOUCH SYSTEMS WARRANT THAT THE LICENSED SOFTWARE WILL MEET THE REQUIREMENTS OF THE USER OR ANY END-USER OR THAT THE OPERATION OF THE LICENSED SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE. 5. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER LICENSEE, 3M TOUCH SYSTEMS, INC., NOR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DELIVERING THE PRODUCT SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF USE OF THE PRODUCT OR INABILITY TO USE THE PRODUCT (INCLUDING, BUT NOT LIMITED TO, DOWNTIME, DAMAGE TO OR REPLACEMENT OF PROGRAMS AND DATA), ARISING FROM CLAIMS BASED IN WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIM OR DAMAGE. THE PROVISIONS OF THIS PARAGRAPH WILL SURVIVE ANY TERMINATION OF THIS AGREEMENT. THE MAXIMUM LIABILITY OF LICENSEE OR 3M TOUCH SYSTEMS, INC. HEREUNDER AND USER’S SOLE REMEDY FOR ANY BREACH OF THE WARRANTIES CONTAINED HEREIN OR IMPLIED BY LAW AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT SHALL BE LIMITED TO, AT THE OPTION OF LICENSEE: (i) REFUND OF THE LICENSE FEE PAID, IF ANY, FOR THE PRODUCT; OR (ii) REPLACEMENT OF THE PRODUCT AS DELIVERED BY LICENSEE. Because some states or jurisdictions do not allow the exclusion or limitation of liability for certain damages, the above limitation may not apply to you. 6. User acknowledges that it must look solely to Licensee in connection with any warranty claim concerning the Product. No warranty, representation or agreement shall be deemed to be made by’ any person or entity other than Licensee for the benefit of User or any third party. User acknowledges that it is not relying on any representation made by any person or entity other than Licensee in entering into this Agreement with Licensee. 7. The Product and accompanying materials, if any, are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the United States Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(l) and (2) of the Commercial Computer Software - Restricted rights at 48 CFR 52.227-19, as applicable. Manufacturer is 3M Touch Systems, Inc., 300 Griffin Brook Park Drive, Methuen, Massachusetts 01844. 8. This Agreement represents the complete agreement between the parties concerning its subject matter, and supersedes all prior agreements and representations. It may be amended only by a writing executed by both parties. If any part of this Agreement is found unenforceable by any court, it shall be limited only to the extent necessary to make it enforceable, without otherwise affecting any other terms of this Agreement. THE ACCEPTANCE OF ANY PURCHASE ORDER IS EXPRESSLY MADE CONDITIONAL ON ASSENT TO THE TERMS SET FORTH HEREIN, AND NOT THOSE CONTAINED IN ANY PURCHASE ORDER. 9. User agrees that any claim, dispute or action arising out of this License Agreement or otherwise related to the Product shall be brought against Licensee only and User shall not bring any such claim, dispute or action against any third party. 10. When United States Government is the User. This Article applies to all acquisitions of the Product by or for the federal government, or by any prime contractor or subcontractor (at any tier) under any contract, grant, cooperative agreement or other activity with the federal government. By accepting delivery of the Product, the government hereby agrees that the Product qualifies as “commercial” computer software within the meaning of the acquisition regulations applicable to this procurement. The terms and conditions of this Agreement shall apply to the government’s use and disclosure of this Product, and shall supercede any conflicting contractual terms and conditions. If this License fails to meet the government’s needs or is inconsistent in any respect with Federal law, the government agrees to return the Product, unused, to 3M Touch Systems. 11. This license shall be governed by and construed under the laws of the Commonwealth of Massachusetts as such law applies to agreements between Massachusetts residents entered into and to be performed within Massachusetts, excluding those regarding choice of law, and except as governed by Federal law. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. User shall not directly or indirectly export or re-export the Product. 12. 3M Touch Systems, Inc. is hereby expressly named as a third party beneficiary of this License Agreement entitled to the same rights and protections as Licensee, and entitled to enforce the terms and conditions of this License Agreement directly against User.
